Eric P. Wilenzik
Eric P. Wilenzik, a partner in the firm, provides a wide range of business, transactional and tax advices, as well as commercial litigation representation to clients. His corporate counseling experiences include representing clients as buyers or sellers in corporate, limited liability company, and partnership acquisitions (including leveraged and non-leveraged acquisitions), creation and structuring of new businesses, advising established businesses on contracting, structural, operating, and planning issues, including mergers, acquisitions, purchase and sale of business assets, divisive reorganization, employment contracts and employment relationships, compensation planning (including options and warrants), as well as all aspects of financing and real estate/leasing transactions. Mr. Wilenzik also represents individual owners of businesses as part of the sale of their interests in their businesses, and termination of business interests. Mr. Wilenzik's practice includes extensive experience providing business counsel to physicians, medical practices, and medical enterprises, as well as food and beverage processors, manufacturing, financial, trading businesses (including BDO's), aesthetic business, services businesses, sales, companies, computer and technology companies, and other professional enterprises, including law firms. Mr. Wilenzik's representation extends to commercial real estate acquisitions and financing for commercial and residential, rental, real estate.
Mr. Wilenzik also represents clients regarding state and federal tax matters, including the representation of clients before the Internal Revenue Service, Tax Court, District Court and before the Pennsylvania Department of Revenue, Board of Finance and Revenue, Commonwealth Court, Federal and State tax planning, multi-state tax planning, white collar crime and criminal tax defense, representation and formation of charitable organizations ("501(c)(3)" enterprises), and estate planning and administration.
In addition, his practice includes complex commercial litigation, injunction work, construction litigation, administrative law advocacy including the Commonwealth Board of Motor Vehicles, labor and employment planning, and employer defense, including representation of clients before the Pennsylvania and Federal Department of Labor, Orphans' Court, N.L.R.B., and estate administration, and Appellate Court practice.
Mr. Wilenzik graduated from Brown University with Honors in 1989, received his law degree from Drake University with Honors in 1994, and received his L.L.M. in Taxation from Villanova University in 1997. He is admitted to the Pennsylvania Bar, 1994; New Jersey Bar, 1994; the Tax Court; the United States District Courts for the Eastern and Middle Districts of Pennsylvania, District Court of New Jersey, Third Circuit Court of Appeals and the Internal Revenue Service CAF. Mr. Wilenzik participates as a volunteer parent representative for the Court of Common Pleas of Montgomery County, and the Philadelphia VIP Program representing clients in tax and estate matters through the program. Most recently, he published in Cataract and Refractive Surgery Today on the subject of employment agreements and the bringing of a new physician into an existing medical practice. He is a member of the Pennsylvania and Montgomery Bar Associations and served on the Board of Directors of the Montgomery County Bar Association and is active in the Bench Bar, Vice Chairman of the Construction Law Committee, and Lawyers and Accountants Liaison Committees.
Mr. Wilenzik enjoys his sons, golf, reading and all manners of outdoor activities.
