Corporate Entity Decennial Filings with Pennsylvania Department of State

With certain exceptions, Pennsylvania corporations, limited liability companies, limited partnerships, and other corporate entities must file a decennial filing with the Pennsylvania Department of State certifying that the they remain in existence in order to maintain their exlusive right to use their name.  Decennial filings are due every ten years in the years ending in the number 1 (1991, 2001, 2011, etc.).

If a company did not file any new or amended filings with the Corporation Bureau of the Pennsylvania Department of State between January 1, 2002, and December 31, 2011, it should determine whether it is required to certify its continued existence.  While the Corporation Bureau sends notices to businesses affected by the requirement, failure to receive such a notice does not excuse a failure to file.
