A new Pennsylvania law requires nearly all business entities to file an Annual Report with the PA Department of State beginning in 2025, if the business is registered with the state. The deadline depends on the type of entity registered:
- Corporations (including non-profits), domestic and foreign — deadline is June 30th of each year.
- Limited Liability Companies (LLCs), domestic and foreign — deadline is September 30th of each year.
- Limited Partnerships, Limited Liability Partnerships, Business Trusts, and Professional Associations, domestic and foreign — deadline is December 31st of each year.
Annual Reports may be filed online at file.dos.pa.gov. More information, including forms, fees, and contact information for the Corporation Bureau, is available at dos.pa.gov/AnnualReports.
This Annual Report replaces the Decennial Report, which was previously required once every ten years, and is intended to keep the state’s records current.
